Unaudited Financial Statements for a Singapore Company: Audit Exemption Rules and How to Generate the Full Set Fast

Many private companies in Singapore close the year with unaudited financial statements as a legitimate way to avoid a statutory audit. The Companies Act lets qualifying firms issue unaudited financial statements in Singapore and stay compliant. In this blog, we explain the 2026 audit exemption rules and what a compliant full set of statements must contain. We also cover the ACRA and IRAS deadlines that matter. Finally, we show how cloud accounting software helps you produce the complete set in days instead of weeks.

What Are Unaudited Financial Statements?

Unaudited financial statements are a complete set of accounts prepared under an approved framework, such as the Singapore Financial Reporting Standards (SFRS), but issued without an independent auditor's report. The numbers remain the directors' responsibility, and they must still present a true and fair view.

Companies choose this route because a statutory audit is costly for a small entity, while banks and regulators generally accept unaudited accounts when exemption applies. In practice, we help Singapore clients run the entire process on cloud accounting software, so the final set is ready well before the filing deadlines.

One point catches out many owners. Audit exemption and filing exemption are different rules: a company may skip the audit yet still need to file its statements with ACRA. The sections below cover both.

Does Your Company Qualify for Audit Exemption in 2026?

Eligibility is conditional: your private company must meet the size tests in the Companies Act, which ACRA administers. Qualifying companies can generally issue their 2026 statement sets unaudited, unless a valid member notice or a direction from the Registrar requires an audit.

These rules have been in place for years, but thresholds can change. Confirm the current figures on ACRA's official channels before each filing season. The rules below cover small companies, newly incorporated companies and groups.

1. Small Company Exemption

A private company qualifies as small by meeting at least two of three tests for the two preceding financial years:

  • revenue of S$10 million or less
  • total assets of S$10 million or less
  • no more than 50 full-time employees

Once qualified, it generally retains its status. It loses status only if it ceases to be private or misses at least two criteria for two consecutive years.

2. Newly Incorporated Companies

A newly incorporated private company can qualify under the small-company test in its first financial year. It must meet at least two of the three size criteria that year. If it did not qualify in its first year, it can qualify in its second year. It must then meet the criteria in that year. Corporate shareholders do not automatically disqualify it.

3. Group Exemption Conditions

A Singapore company in a group must qualify as a small company in its own right. The entire group, including foreign entities, must also qualify as a small group. The group generally must meet at least two of the three size criteria on a consolidated basis. This test applies for the preceding two consecutive financial years.

Audit Exemption Criteria for Singapore Companies (2026)

Exemption route Who qualifies Key tests
Small company Any private company Meets at least two of three: revenue at or below S$10 million, total assets at or below S$10 million, no more than 50 employees
Start-up exemption Newly incorporated private company First two consecutive financial years from incorporation; all shareholders may be corporate
Group exemption Group company Whole group qualifies as small; the Singapore company must meet the tests

What Goes Into a Full Set of Unaudited Financial Statements?

An audit-exempt company generally still prepares the complete statement set, unless it also qualifies for an exemption from preparing financial statements. Each statement must follow the framework the directors selected, and a directors' statement typically confirms the company's exemption position.

For solvent exempt private companies (EPCs), a declaration of solvency accompanies the annual return filing. The four components below form the core of the set.

1. Statement of Financial Position

This shows assets, liabilities and equity at the year-end date. Lenders read this statement first, so presentation and classification matter.

2. Statement of Profit or Loss and Other Comprehensive Income

This reports revenue, expenses and the profit or loss for the year. Keep the income classification consistent with your tax computation.

3. Statement of Changes in Equity and Cash Flows

These statements track movements in owners' equity and cash across operating, investing and financing activities.

4. Notes to the Financial Statements

The notes disclose accounting policies, line-item breakdowns, related-party transactions and contingencies. Weak notes are the most common defect we see in unaudited sets.

Which ACRA Filing Rules Apply to Unaudited Statements?

Not every company files the same way. All Singapore-incorporated companies must prepare financial statements, except qualifying dormant relevant companies, and file them with the Accounting and Corporate Regulatory Authority (ACRA) unless an exemption applies.

The main categories for 2026 are:

  • Dormant relevant companies: no preparation or filing is required if they satisfy section 201A of the Companies Act. Conditions include the applicable dormancy and directors' declaration requirements. Total assets must not exceed S$500,000 at any time during the financial year. An ultimate parent must also meet the consolidated group assets test.
  • Solvent exempt private companies (EPCs): generally, private companies with no more than 20 members and no corporate beneficial interest in their shares; certain government-owned private companies can also qualify. Filing is not required, though voluntary filing is allowed, and an online solvency declaration accompanies the annual return.
  • Smaller, non-publicly accountable companies: simplified XBRL statements plus a PDF authorised by directors. This applies where current-year revenue and total assets are each at or below S$500,000, using consolidated figures where required.
  • Other companies generally file full XBRL statements, while banks, finance and insurance companies, companies limited by guarantee and companies approved to use other accounting standards follow their applicable formats.

Category errors are a common cause of rejected annual returns. Purpose-built software that meets local legislative requirements can pre-validate your format before submission.

Filing Format by Company Type in Singapore (2026)

Company type What to file
Smaller, non-publicly accountable companies Simplified XBRL statements plus PDF authorised by directors
Solvent exempt private company (EPC) Exempt from filing; may file XBRL or PDF voluntarily
Dormant relevant company No preparation or filing if section 201A tests are met
Banks, finance and insurance companies XBRL FSH template plus PDF authorised by directors
All other companies Full XBRL statements

What Are the 2026 Filing Deadlines You Cannot Miss?

The calendar, not the audit, is what pressures most companies. For a 31 December 2025 year end, the 2026 filing sequence runs as follows. The deadlines come from the Inland Revenue Authority of Singapore (IRAS) and ACRA.

Estimated Chargeable Income (ECI) goes to IRAS within three months of the year end, unless the company qualifies for a waiver. The annual general meeting (AGM) for a non-listed company follows within six months, unless the company qualifies for an AGM exemption under the Companies Act. The ACRA annual return follows within seven months and includes financial statements only where filing is required. The corporate income tax return is generally due by 30 November 2026; eligible Form C-S returns filed through Seamless Filing from Software are due by 15 December 2026, and eligible dormant companies may use the Form for Dormant Company.

IRAS also cautions that directors remain responsible for on-time filing even when a tax agent handles the submission. Late filing can attract penalties of up to S$5,000, so build your close around these dates.

Key 2026 Filing Deadlines for a 31 December Financial Year End

Filing Deadline Authority
Estimated Chargeable Income (ECI) 31 March 2026 IRAS
Annual general meeting (AGM) 30 June 2026 ACRA
Annual return (financial statements only where filing is required) 31 July 2026 ACRA
Form C-S (Lite), Form C-S or Form C 30 November 2026; 15 December 2026 for eligible Form C-S returns filed through Seamless Filing from Software IRAS

How Can You Generate the Full Set of Unaudited Financial Statements Fast?

Speed is a by-product of the system you run, not a last-minute sprint. When your ledgers live in the cloud all year, the annual close becomes a review exercise rather than a rebuild.

Two practical notes before the steps. Choose your accounting framework before you start, because restating is slower than preparing. Then let Singapore accounting software pre-validate formats, from XBRL tags to IRAS schedules. Firms with heavier compliance needs often start on the premium plan for the full suite. The sequence below is how we guide clients through the process.

Step 1: Keep the Books Current All Year

Automate invoicing, bank feeds and expense capture so transactions land in the ledger within days. Reconcile monthly rather than at year end.

Step 2: Run Pre-Close Checks Early

Work through fixed asset schedules, accruals and provisions before the year closes. Revalue foreign-currency balances at closing rates; a multi-currency engine handles this automatically.

Step 3: Post Adjustments and Lock the Period

Give directors time to review the draft figures. Once approved, lock the period so no stray entries disturb the final set.

Step 4: Generate Statements and the Tax Computation Together

Export the primary statements, notes schedules and a draft computation from one data set. Our integrated tax computation software keeps the statements and the tax return consistent, and you can learn how to streamline your accounting process in our earlier walkthrough.

Step 5: File Before Each Deadline

For the 31 December 2025 year-end example, submit ECI to IRAS unless waived. Then file the ACRA annual return with statements in the applicable format if required. Finally file the IRAS tax return. Keep copies of every submission.

Unaudited financial statements in Singapore are entirely legitimate for companies that meet the audit exemption tests, and they can be produced quickly when your books are already in order. Confirm your exemption status, prepare the full statement set under an approved framework, and file in the correct format before the ACRA and IRAS deadlines.

We help accounting firms and businesses across Singapore do exactly that. AI Account's cloud platform brings together multi-currency ledgers, unlimited usage, automated invoicing and integrated tax computations, so one data set drives your statements, XBRL filing and tax return.

Frequently Asked Questions

Are unaudited financial statements acceptable in Singapore?

Yes. A company that qualifies for audit exemption under the Companies Act may issue unaudited statements, and they can be filed with ACRA where filing is required.

What are the small company audit exemption thresholds for 2026?

A private company generally must meet at least two of three tests in each of the preceding two consecutive financial years: revenue of S$10 million or less, total assets of S$10 million or less, and no more than 50 full-time employees. Special rules apply to newly incorporated companies and groups, and an established company's status continues until it meets the disqualification conditions.

Do solvent exempt private companies need to file statements with ACRA?

No. A solvent EPC is exempt from filing, though it may file voluntarily and must declare solvency online when submitting its annual return.

What happens if we miss the 2026 annual return or tax deadlines?

ACRA may pursue enforcement for late annual returns, while IRAS late filing can attract penalties of up to S$5,000. Directors remain responsible even when an agent files.

Can accounting software generate the full set of unaudited statements?

Yes. A cloud platform with multi-currency ledgers can produce the primary statements, notes schedules, XBRL output and a draft tax computation from a single data set.
